Terms of Service
Last updated: March 4, 2026
1. Terms Agreement
These Terms of Service ("Terms") are an agreement between you or the organization you represent ("you" or "Customer") and Architect, Inc. ("the Company," "we," "us," or "our"), with an address at 333 West San Carlos Street, Suite 600, San Jose, CA 95110. Visiting architcetlabs.com (the "Site") or using the Architect platform (the "Service") means you accept these Terms. If you accept these Terms for an organization, you confirm that you are authorized to commit that organization to them.
Do not access the Service if you reject these Terms.
2. About the Service
The Service uses AI-driven automation for custom silicon physical design, covering place-and-route orchestration, DRC violation classification, LVS verification, static timing closure, and agent-assisted design refinement. It is offered to semiconductor design teams during early access. Use is also governed by a separate Early Access Agreement covering seat allocation, project scope, and authorized process nodes.
We may change, pause, or end the Service or a feature, providing reasonable notice of material changes.
3. Account Access
An account is required to use the Service. You must protect your credentials and accept responsibility for activity conducted through your account. If you believe someone has used it without authorization, promptly contact us at [email protected]. We are not responsible for losses caused by unauthorized use resulting from inadequate credential protection.
An account cannot be shared between organizations. Each organization's design data is logically separated, and you must not seek access to or disrupt another Customer's account or design data.
4. Customer Design Data
You keep all right, title, and interest in the chip design files, verification artifacts, netlists, floorplan definitions, timing constraints, and other intellectual property submitted to the Service ("Design Data"). The Company claims no ownership of your Design Data.
You give the Company a limited, non-exclusive, non-transferable license to access, process, copy, and transmit your Design Data only as needed to operate and deliver the Service for your benefit. That license ends when your Design Data is deleted or your account is terminated.
We will not use your Design Data to train machine learning models without your explicit written consent. We will not disclose your Design Data to a third party, except when needed to operate the Service through contracted infrastructure providers or when required by law.
You represent and warrant that you may submit all Design Data to the Service, that submission does not infringe third-party intellectual property rights or breach export control regulations or foundry non-disclosure obligations, and that the Design Data contains no export-controlled technology unless you have independently confirmed that applicable compliance obligations are met.
5. Permitted Use
You must not use the Service to: (a) breach an applicable law or regulation; (b) upload Design Data containing malicious code; (c) reverse-engineer, decompile, or extract the Company's AI models or agent logic; (d) resell or sublicense Service access without written authorization; or (e) impair the Service infrastructure or another customer's access. Any breach of these limits can lead to immediate account suspension or termination.
6. Platform Ownership
The Company and its licensors own the Service, including the Architect platform, Layout Agent, Verify Agent, Refine Agent, related AI models, interfaces, and documentation. Except for the limited use right stated in these Terms, they provide no license to the Company's intellectual property.
We may incorporate feedback, suggestions, or improvement ideas you voluntarily provide about the Service without paying or crediting you. You agree that these submissions are non-confidential and may be used freely by us.
7. Non-Disclosure
Each party will safeguard the other's confidential information with the care it applies to its own, and never with less than reasonable care. Neither party may share the other's confidential information with a third party unless the law requires it or the other party gives prior written consent. Under this section, the Company considers your Design Data confidential information.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI AGENT OUTPUTS WILL BE SUITABLE FOR DIRECT SUBMISSION TO A FOUNDRY WITHOUT INDEPENDENT ENGINEERING REVIEW. ALL AUTOMATED DESIGN CHANGES AND VERIFICATION OUTPUTS MUST BE REVIEWED BY A QUALIFIED ENGINEER BEFORE SUBMISSION FOR TAPE-OUT.
9. Limitation of Liability and Governing Law
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE MONTHS PRECEDING THE CLAIM.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service that is not resolved informally shall be submitted to binding arbitration in California, USA, under the rules of the American Arbitration Association (AAA) then in effect, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction. Class action arbitration is not permitted; all proceedings shall be individual. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration clause.
YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND THE COMPANY WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION.
10. Updates to These Terms
We may revise these Terms periodically. For material revisions, we will post the new version on the Site and include a new "Last updated" date. Continuing to use the Service after the revised Terms take effect means you accept them.
